Offering of exchange-traded bonds by DeloPorts

DeloPorts announces the offering of series 001P-04 bonds with a maturity period of 1.5 years for a total amount of RUB 15 billion. DeloPorts LLC (“DeloPorts”), one of Russia's largest stevedoring holding companies, which consolidates the assets of Delo Group in the grain and container segments in Novorossiysk, announces the offering of series 001P-04 bonds for a total amount of RUB 15 billion. The issue does not include any put option. Following the book-building process, the coupon rate was set at 20.75% per annum (equivalent to a yield of 22.84% per annum).

The Moscow Exchange registered the bond issue on 13 March 2025 under the 4B02-04-36485-R-001P number. Expert RA, a rating agency, assigned a ruAA- credit rating to the series 001P-04 bonds issued by DeloPorts.

The bonds were issued under DeloPorts’ programme for exchange-traded bonds registered in August 2016. The programme allows for total issuance of up to RUB 100 billion or its equivalent in a foreign currency. The maximum bond maturity under the programme is 10 years.

“With this new bond issue, DeloPorts sought to refinance its previous issue, which matures on 1 April 2025. Additionally, given the more attractive financing conditions in the bond market compared to traditional loans, we replaced part of our loan portfolio (calculated as the banking margin plus the Bank of Russia’s key rate) with new instruments offering a coupon rate of 20.75%. The fact that DeloPorts was able to offer bonds below the current key rate reflects the Company's strong position as an issuer and the high quality of its assets, which provide best-in-class stevedoring services in the Azov–Black Sea region,” said Elena Svirina, Deputy CEO for Finance and Economics at DeloPorts.

Delo Group terminals in Novorossiysk handled record volumes of grain and containers by the end of 2024

NUTEP Container Terminal and KSK Grain Terminal (both part of DeloPorts, a stevedoring holding company that manages Delo Group’s assets in Novorossiysk) have set records in terms of transshipment volumes by the end of 2024.

KSK handled a record 10.3 million tons of grain for export for Russia, which is 25.6% higher than in 2023. The terminal’s throughput capacity increased to 10.5 million tons. In the fourth quarter of 2024, transshipment at KSK has increased by 44% to 2.7 million tons. A monthly handling record of 1.074 million tons was set in October, which is 4.3% higher than the previous achievement (in April 2024).

Following the results of the last year NUTEP increased container turnover by 1.7% to 613 thousand TEU and took the second place among container terminals of the country. In October-December, the terminal increased handling by 12.3%, to 160,000 TEU.

“In 2024, DeloPorts consolidated its leadership among Russia’s stevedores, ensuring a historic record transshipment volume of both containers and grain. The growth in cargo turnover has been driven by the consistent implementation of investment and operational efficiency projects implemented over the past few years. Moreover, we see the long-term potential of the market and plan to further increase capacity,” said Igor Yakovenko, CEO of DeloPorts.

Delo Group is implementing a project at NUTEP to reconstruct deep-water berth No. 38, which will result in the terminal’s throughput capacity increasing to 1 million TEU by the end of 2027. KSK development projects will enable the terminal to increase its throughput capacity to 15 million tons per year over the next few years, in particular, by installing equipment for unloading low-tonnage grain ships, which will enable cargo to be delivered to the terminal via inland waterways, relieving the load on railways and motor vehicles.

Delo Group demographic program made available to all 11 000 employees of the Group

Delo Group is extending its corporate program to support maternity and childhood to all of its assets in 2023.

Thus, 11 000 employees can take advantage of the support measures in all regions of Group presence, from Kaliningrad to Vladivostok. The unified corporate standard to stimulate the birth rate in employees' families, improve the quality of life and support employees with children meets the goals of the Demography national project and was developed at the initiative of Sergey Shishkaryov, Chairman of the Board of Directors of Delo Group. The standard provides for progressive amounts of benefits and their drastic increase with the birth of the third child, including payment of 1 million rubles for the birth of the third and subsequent children. In addition, a set of measures includes additional payments during maternity leave, additional sick leave benefits during pregnancy and upon early return from maternity leave, compensation for kindergarten and children's camp trips, expansion of the voluntary medical insurance program for employees and others. The Group companies have introduced a “social manager” position to organize work with employees in terms of the corporate program, as well as to inform them about the system of state benefits. Commenting on the implementation of the Group’s demographic project, Alexander Osipov, HR Director of Delo Management Company, said: “We see the demand for the program among employees. In the second half of 2022, 880 employees of TransContainer took advantage of various support measures, and eight families with many children received financial aid of one million rubles. We expect that the adopted standard will become an effective tool to help improve the demographic situation in the country.”

Men`s and women`s ‟CSKA” Clubs are closely associated with the Group, which is the general sponsor of not only these Clubs, but also of Handball Club ‟Kuban”, so employees of the Group are devoted handball fans.

The team came to Krasnodar region to participate in OLIMPBET Final4 of the Russian Women's Handball Cup – 2021-2022. The Cup will be held in Krasnodar on April 9-10. The best teams of Russian Cup - ‟CSKA”, ‟Rostov-Don”, ‟Kuban” and ‟Zvezda” will take part in the competition.

After arrival in Novorossiysk, the athletes laid flowers at the monument ‟Port workers of Novorossiysk”, built on the initiative of the Delo Group. Afterwards, the team went on a tour of the DeloPorts holding terminals and talked with their employees.

The sportswomen got a chance to get acquainted with the facilities and see how the containers and grain are handled at the terminals. The CEO of DeloPorts Igor Yakovenko told the team about how the holding had become a leader in the market, about investment projects which the Group had implemented in last 7 years: construction of unique deep-water container and grain berths for ocean-type vessels, purchase of own modern tugboats that are an important part of the uninterrupted work of terminals.

Igor Yakovenko, in a dialogue with the handball players, noted: ‟These days DeloPorts is one of the most advanced divisions of the Group and the most advanced in southern Russia. December 23, 2021, marks the fourth anniversary of establishment of the tugboat fleet of the Delo Service Company (SC Delo), a part of DeloPorts, the stevedoring asset of the Delo Group.

On that day in 2017, SC Delo accepted the first three tugboats produced by Damen Shipyards Group. The tugs which received the name «Delovoy» with the relative numbering. Today there are six tugboats in the fleet in total.

The last years have shown that the decision to create own tugboat fleet was more than rational and justified.

In 2021, DeloPorts completed the implementation of the large investment project aimed at reconstruction of container and grain terminals. As the result the two new deep-water berths were launched, which allows simultaneous mooring of two vessels, including ocean-type ones.

The professionalism of tugboat crews provides quick and safe mooring of all arriving vessels, which makes operations as efficient and comfortable as possible for our customers.

Over the years of existence of the SC Delo tugboat fleet 4932 mooring operations were carried out.

Good working relations are established with the pilot service of FSUE Azov-Black Sea Basin Branch of Rosmorport.

Pilots play an important role in achieving uninterrupted and accident-free performance during all operations at the berths of the DeloPorts terminals. This especially is true for the mooring operations in unfavorable weather conditions.

The same effective cooperation was established with all other port services, which facilitates the successful achievement of the tasks.

Igor Yakovenko, the CEO of DeloPorts, congratulating the SC Delo employees on the fourth anniversary of the fleet formation, noted: «Having own tugboat fleet for the company that owns eight berths, and two of them are the deepest in the Azov-Black Sea basin, is the vital component of the safe operations and increasing efficiency of our terminals.  We value trust of our customers and guarantee responsiveness and quality. I thank all the employees of SC Delo, our colleagues from port services, the pilot staff of the basin branch of Rosmorport. We are confident that in the future the common work will be effective».

On Wednesday 12th of December 2018, Service Company Delo, part of DeloPorts - subsidiary company of the Delo Group, signed a contract with Damen Shipyards Group, for the delivery of an ASD Tug 2310. This vessel will be the sixth ASD Tug 2310 bought by Delo from Damen and will proudly bear the name Delovoy-6.

Delivery of the 6th vessel is scheduled for the start of 2021. Total investments in the tug boat fleet of SC Delo will exceed 31 mln euro of own and borrowed funds. The new tug will be used for towing, mooring, firefighting and a wide range of additional harbour tasks at the grain and container terminals owned by DeloPorts at the port of Novorossiysk on the Black Sea. On arrival the vessels will begin operations immediately. Delo Group is one of the largest private transportation and logistics companies in Russia with port assets in the Azov-Black Sea, Baltic and Far Eastern basins. It is also a major rail and multimodal supplier of containerized cargo delivery services. The relationship between Delo Group and Damen started two years ago in 2016, but in this short period of time the companies have become good partners. On the premises of another Delo Group subsidiary, Aleksino Port Marina Shipyard in Novorossiysk, Damen has established a Service Hub that allows it to deliver quick and professional services for Damen customers in the Black Sea and eastern Mediterranean region.
